Regional distributors: The distributors in the regions without agents are not required to pay security deposits and are of no risks and investments. They can directly purchase the goods from the manufacturer at wholesale price. The distributor who reaches the minimum monthly agency sales volume (of the appointed products for agency) of the region has priority to obtain the power of attorney of the products. 3. Sales Tasks: A cities (such as Shanghai, Beijing)Minimum monthly sales volume: 90 sets B cities (such as provincial capital cities) Minimum monthly sales volume: 60 Sets C cities (such as Cities at prefecture /county level)Minimum monthly sales volume: 30 sets 4. The agents at provincial/prefecture /county levels are entitled to develop subordinate urban agents and distributors. The names for subordinate agents shall be timely reported to our company for filing. 5. We are entitled to cancel the qualifications for agency of the agents who fail to reach the minimum sales volumes and take them as distributors. Party A is entitled to development agents in the scope for agency of Party B. 6. The qualifications for agency of the agents who reach the sales tasks of the whole year will be automatically extended to the next year based on the principle of voluntary renewal of the contract and the agents are allowed to participate in the investigation as well as the annual meeting organized by the head office and will be granted with bonus. III. Payment The agents shall in advance pay up the goods payment for each order (If we render assistance to the agents to pay for the freights, the agents shall pay both goods payments and freights to us). Payment in advance.
We can render assistance to agents to make goods consignment and purchase transportation insurances on the premise that the agents bear relevant expenses. The shipment modes are subject to the decisions of the agents. We shall deliver the goods to the appointed place on the agreed date of delivery. The agents shall be responsible for the discharge and carrying. We guarantee that the products offered by the agents are all qualified. In case of quality problems arise during the period of agency, the agents shall timely assist the customers in going through relevant procedures for return or exchange or partial exchange of the products and inform us, we will then complement and exchange the goods immediately.
VI. Market Operation and Protection The agents are prohibited from multi-regional operation, otherwise we are entitled to cancel their qualifications as agents and take them as distributors. VII. Rejection System In case of poor market in three months as of the date of participation, the agents can deliver the goods to the appointed place if the goods are of no damages, no scratches, intact accessories and outer package. We will take back the goods in accordance with the principle of ˇ°selling rate is in direct proportion to rejected goods price rateˇ±. The specific calculation mode for rejection is as follows: If the initial purchase quantity is 100 sets, of which 90 sets haven been sold out, namely, the selling rate is 90%, the rest 10 sets of products will be returned at a price of 90% of the purchase price (selling rate), and such-and-such (Note: The previous batch of products is regarded as all sold out when the agents purchase the goods again).
